End-User License Agreement

This End-User License Agreement governs access to and use of the CDIL Enterprise Operating System and its connected services.

1. Agreement and authority

By accessing or using the CDIL Enterprise OS (the "Platform"), you agree to this Agreement. If you use the Platform for a campus, company, school, healthcare operation, certification body, or another organization, you confirm that you are authorized to act for that organization and to provide the information and permissions required for your assigned work.

If you do not agree, do not access or use the Platform. Separate enrollment, employment, clinical, service, or commercial agreements may also apply to your relationship with C. Douglas Institute of Learning ("CDIL") or an affiliated organization.

2. Limited right to use the Platform

CDIL grants authorized users a limited, revocable, non-exclusive, non-transferable right to use the Platform for approved educational, administrative, healthcare, certification, creative, business, or related operational purposes. This right does not transfer ownership of the Platform, its source code, designs, documentation, trademarks, or other intellectual property.

3. Accounts, roles, and security

  • You must provide accurate account information and keep it reasonably current.
  • You must keep passwords and authentication information confidential.
  • You may use only the roles, campuses, companies, and records assigned to you.
  • You must promptly report suspected unauthorized access or account compromise.
  • You are responsible for activity performed through your account unless you promptly report that the account was compromised.

CDIL may review access logs, change permissions, require a password reset, suspend an account, or take other reasonable security measures to protect users and institutional information.

4. Acceptable use

You must not:

  • access information without authorization or attempt to bypass security controls;
  • share another person's credentials or impersonate another user;
  • upload malicious code or interfere with the Platform's operation;
  • copy, reverse engineer, resell, or exploit the Platform except as permitted by law;
  • use the Platform for unlawful, fraudulent, abusive, or discriminatory activity; or
  • enter passwords, payment-card details, or sensitive personal information into fields that are not designated for that information.

5. Information, records, and privacy

The Platform may store education, employment, finance, healthcare, certification, communications, and other operational records. Users must handle those records only for authorized purposes and in accordance with applicable policies, confidentiality duties, and law.

CDIL's customer-facing privacy practices are described in the CDIL Privacy Policy. An organization using the Platform remains responsible for the accuracy, legality, retention, and authorized disclosure of information it enters or directs CDIL to process.

6. QuickBooks Online integration

When an authorized administrator connects a QuickBooks Online company, the Platform may request permission to access accounting information needed for approved workflows, such as company details, customers, invoices, and received payments. The Platform uses that information to synchronize authorized finance records and support actions such as confirming payments and unlocking an eligible registration workflow.

  • A QuickBooks administrator must expressly authorize each company connection.
  • Guyana and Jamaica company files must be authorized and processed separately.
  • Access can be revoked from the Finance Workspace or through QuickBooks. After revocation, the Platform removes its stored OAuth tokens and can no longer retrieve new information from that company.
  • Users must review financial matches and exceptions; synchronization does not replace professional accounting review.

Intuit and QuickBooks are third-party services. CDIL is not affiliated with or endorsed by Intuit merely because the Platform connects to QuickBooks Online. Use of QuickBooks is also subject to Intuit's terms and privacy practices. Additional details are available in the QuickBooks Online Data Use notice.

7. Third-party services

The Platform may connect to services such as QuickBooks Online, email delivery, cloud storage, meeting platforms, or other approved providers. Those services may be unavailable, changed, or governed by separate terms. CDIL is not responsible for a third-party service's independent acts, outages, or policies, but will use reasonable measures to protect credentials and data under CDIL's control.

8. Professional and emergency decisions

The Platform supports operational recordkeeping and communication. It does not replace professional educational, accounting, legal, clinical, or emergency judgment. Users remain responsible for reviewing records and following the procedures that apply to their role. The Platform must not be used as an emergency-response service.

9. Availability and changes

CDIL may maintain, update, secure, or modify the Platform and may temporarily interrupt service when reasonably necessary. CDIL does not guarantee that every feature or third-party connection will be uninterrupted or error-free. Material changes to this Agreement will be posted on this page with an updated effective date.

10. Suspension and termination

Access may be limited or terminated when authorization ends, an account is deactivated, a user violates this Agreement, continued access creates a security or legal risk, or the relevant relationship with CDIL or an affiliated organization ends. Duties concerning confidentiality, intellectual property, and lawful handling of records continue after access ends.

11. Disclaimers and limitation of liability

To the maximum extent permitted by applicable law, the Platform is provided on an "as available" basis. CDIL disclaims warranties that cannot reasonably be provided for software and third-party connections. CDIL will not be liable for indirect, incidental, special, or consequential losses arising from use of the Platform where such limitations are permitted by law. Nothing in this Agreement limits rights or liabilities that cannot lawfully be limited.

12. General terms

This Agreement, together with applicable privacy, security, employment, enrollment, service, and organizational policies, forms the agreement governing use of the Platform. If part of this Agreement is unenforceable, the remaining provisions remain effective. Failure to enforce a provision once does not waive the right to enforce it later. Applicable mandatory laws and any written agreement expressly signed by CDIL take priority where they conflict with this Agreement.
